Introduction
Fab & Fair LLP run an e-commerce website that sells a range of selected ethical, fairly traded and made in the UK goods. By promoting fair trade products we are helping to empower producers to combat poverty – we believe fair trade is making a real difference to workers and their families.
Fab & Fair is also a commercial participator in so much as we may engage in promoting our business representing our charitable contributions given or applied for the benefit of charitable institutions and good causes.
Fab & Fair LLP are offering the opportunity for customers that make a purchase via our ecommerce store to select a Charity or good cause [Organisation], from Fab & Fair’s approved Charity list, of their choice. ‘Fab and Fair’ are offering to donate up to 10%* of the net cost of their sale to their chosen charity.
* pre-VAT, and does not include postage, if item/s are returned or refunded then the donation value is adjusted accordingly to the revised value.
Fab & Fair are providing this opportunity to Charities/Organisations for free. We are not asking for or requiring remuneration, fees or expenses from the participating Organisations.
Marketing Exposure
There is also an opportunity for additional exposure in our featured charity slot on our homepage, we may well be able to time this for a specific fundraising activity – please contact us to discuss.
Who can Apply
To apply to be in Fab and Fair’s charity / good causes list and qualify for our voluntary donation then the Terms and Conditions Agreement must be signed and returned to us at:

Fab and Fair will notify the applicant of its acceptance or rejection.
Both Fab & Fair and the Organisation will need to sign the agreement.
Use of Fab & Fair Brand
Subject to the terms of this agreement Fab and Fair grant the use of their provided marketing materials including the Fab & Fair brand in a limited, non-exclusive, non-assignable, non-transferable, non-sub-licensable, royalty free license during the term of this agreement. The Fab and Fair brand and marketing materials may not be adjusted, re-coloured, re-worded unless agreed in writing.
The charity/organisation acknowledges that Fab & Fair own all of the Intellectual Property Rights in and to all of their marketing materials. Nothing contained in this agreement shall be construed as an assignment of any right, title or interest in or to any Intellectual Property Rights of Fab & Fair.
Payment of Voluntary Donation to the Charity.
Data on the transactions on the Fab & Fair website are held in an ecommerce database. The information records each transaction order value, date, and customer selected charity, transaction records can be filtered by Charity name.
Fab & Fair will issue a statement and a payment of Fab & Fair voluntary donations to the charity/organisation (if due) a minimum of once in a calendar year.
Time shall not be of the essence regarding payment of the Voluntary Donations and notwithstanding the Late Payment of Commercial Debts (Interest) Act 1998 and Late Payment of Commercial Debts Regulations 2002 interest shall not accrue on any Donations which pursuant to this Agreement are due to the Charity/Organisation.
Fab & Fair will not add VAT to the Voluntary Donation, and no additional Fees, Commission or similar other than the Voluntary Donation shall be payable to the Charity/Organisation.
The Charity/Organisation shall provide payment details to Fab & Fair for the purpose of Fab and Fair generated payment records, these shall include: Charity Name, Contact Name and Dept, Charity Number., Company Number, Vat Number, Address. The Charity/Organisation shall immediately notify Fab & Fair of any changes to the above Payment / Charity information.
Warranties and Indemnities
The Charity/Organisation grants the use of its name in Fab & Fair’s Charity List. And the use of its name, brand/logo where relevant such as further information on the respective charity.
The Charity/Organisation will provide their logo and brief synopsis of the charity, its work and benefits and a working link so that we may feature more information on the Charity, we may also wish to use these details in marketing materials.
The Charity/Organisation and the administrator represent and warrant that :
They have full power and authority to enter in this agreement.
The bank account nominated to receive Voluntary Donations is owned, controlled, and operated for the sole benefit of the Charity/Organisation.
They will ensure a link and information to the store is easy to find on their website and where possible market the site in other means such as newsletters and social media.
The Charity/Organisation and the administrator agree to defend indemnify and hold Fab & Fair harmless from and against any and all losses, costs, claims, liabilities, damages, suits, actions or expenses (including, without limitation, reasonable legal fees) arising from or in connection with any breach of the terms of this Agreement including but not limited to these warranties.
Changes to Terms and Conditions and Right to Termination of Agreement
There may be circumstances where we have to amend the Terms and Conditions. Where this is the case we will re-issue them and highlight the amended text. The revised agreement will need to be signed by the Organisation and Fab & Fair LLP
Both parties have the right to terminate the agreement by written notification.
